4. Client Agreements and Responsibilities

Clients engaging Stratege Consultants, Inc. for professional services are required to:

• Sign a formal Service Agreement or accept a digital proposal outlining deliverables, fees, and timelines.

• Provide accurate business and financial information as needed for service delivery.

• Pay all agreed fees per the terms of the contract or invoice.

• Cooperate fully during consulting engagements to ensure timely results.

Failure to comply with these responsibilities may delay or impact project completion.

5. Intellectual Property Rights

All content, materials, documents, strategies, templates, and intellectual property provided by Stratege Consultants, Inc. are protected under copyright and trademark laws.

Clients are granted limited usage rights only for materials explicitly delivered as part of their consulting engagement.

6. Confidentiality

All information shared between the Client and Stratege Consultants, Inc. during the course of business is treated as confidential.
We will not disclose, share, or sell client data to third parties, except as required by law or explicitly authorized in writing.

Both parties agree to maintain confidentiality of sensitive data, trade secrets, and internal communications.

7. Payment and Billing

All payments are due as stated in your service agreement or invoice.
Accepted payment methods include bank transfers, credit/debit cards, and ACH (processed via Stripe or other secure gateways).
Invoices are typically due upon receipt unless otherwise stated (e.g., Net-15 or Net-30 terms).

Late payments may result in service suspension or additional administrative fees.
All sales are final once services begin unless otherwise outlined in the Fulfillment Policy.

8. Refunds and Cancellations

Due to the customized and consultative nature of our services, fees are non-refundable once work has commenced.
Prepaid retainers for future services may be refunded on a pro-rata basis with at least five (5) business days’ written notice before the next service period begins.

If Stratege Consultants, Inc. cancels or discontinues a service, affected clients will be notified and may receive a full or partial refund, depending on project stage and work completed.

9. Disclaimers

• All consulting advice, business strategies, and recommendations are provided based on experience, expertise, and available information at the time of engagement.

• Stratege Consultants, Inc. does not guarantee specific financial results, outcomes, or success levels.

• Clients are responsible for implementing advice and complying with applicable laws or regulations.

• Services are provided “as is” and “as available”, without warranties of any kind, express or implied.

10. Limitation of Liability

To the fullest extent permitted by law, Stratege Consultants, Inc. and its officers, directors, and affiliates shall not be liable for:

• Any indirect, incidental, or consequential damages arising from use of our services or website.

• Loss of profits, data, or goodwill resulting from service delays, communication issues, or third-party errors.

• Total liability exceeding the amount paid by the client for the specific service in dispute.

11. Indemnification

You agree to indemnify and hold harmless Stratege Consultants, Inc., its officers, employees, and affiliates from any claims, liabilities, or damages resulting from:

• Your use or misuse of our services or website.

• Violation of these Terms of Use or applicable laws.

• Any breach of confidentiality or third-party rights.

12. Termination

Stratege Consultants, Inc. reserves the right to terminate or suspend access to its website or services, at its sole discretion, for violations of these Terms or any unlawful or unethical activity.
Clients may also terminate engagements by following the cancellation terms outlined in their Service Agreement.

These Terms are governed by and construed in accordance with the laws of the State of Florida, without regard to conflict of law principles.
Any disputes shall be resolved through mediation or binding arbitration in Miami-Dade County, Florida.
